Terms of Service

Please read these Terms of Service ("Terms") carefully before using NuLakaz. These Terms govern your access to and use of our platform.
1. Agreement to Terms
By accessing or using NuLakaz ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.
These Terms constitute a legally binding agreement between you and NuLakaz. We reserve the right to modify these Terms at any time, and your continued use of the Platform following any changes indicates your acceptance of the new Terms.
2. Eligibility
To use NuLakaz, you must:
- Be at least 18 years of age
- Be a resident, property owner, or authorized representative of a participating residential building
- Provide accurate and truthful information during registration
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the service under applicable laws
Building organizations that subscribe to NuLakaz must have the authority to represent their residential community and agree to be responsible for subscription fees and compliance with these Terms.
3. Account Registration and Security
3.1 Account Creation
To access NuLakaz, you must create an account by providing:
- Your full name
- Email address
- Residential address and apartment/unit number
- Verification documents as required by your building administrator
You agree to provide accurate, current, and complete information. Providing false information may result in account suspension or termination.
3.2 Account Approval
Your account is subject to approval by your building administrator to verify you are a legitimate resident. We reserve the right to refuse service or terminate accounts that cannot be verified.
3.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
NuLakaz uses passwordless "magic link" authentication. You must have access to the email address associated with your account to log in.
4. Acceptable Use Policy
4.1 Permitted Use
NuLakaz is designed to facilitate communication and community engagement within your residential building. You may use the Platform to:
- Share information and updates with your community
- Report maintenance issues and problems
- Participate in community discussions
- Vote on posts and comments
- Organize and coordinate with neighbors
4.2 Prohibited Conduct
You agree NOT to:
- Post Inappropriate Content: Content that is defamatory, obscene, pornographic, abusive, offensive, or violates any person's rights
- Harass Others: Engage in harassment, bullying, stalking, or threatening behavior
- Violate Privacy: Share others' personal information without consent
- Spread Misinformation: Post false, misleading, or deceptive content
- Engage in Illegal Activity: Use the Platform for any unlawful purpose
- Spam: Send unsolicited commercial messages or advertisements
- Impersonate: Impersonate any person or entity
- Violate Security: Attempt to gain unauthorized access, disrupt service, or circumvent security measures
- Scrape Data: Use automated means to collect data from the Platform without permission
- Infringe Rights: Violate intellectual property, privacy, or other rights of others
5. Content and Intellectual Property
5.1 Your Content
You retain ownership of content you post on NuLakaz ("User Content"). By posting content, you grant us a worldwide, non-exclusive, royalty-free license to:
- Display, reproduce, and distribute your content on the Platform
- Make your content available to other residents in your building community
- Use your content to improve and promote our services
5.2 Content Responsibility
You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that:
- You own or have the necessary rights to your content
- Your content does not violate these Terms or any law
- Your content does not infringe any third-party rights
5.3 Content Moderation
We reserve the right, but have no obligation, to monitor, review, or remove any User Content that violates these Terms or is otherwise objectionable. Building administrators and moderators may also remove content within their communities.
5.4 Our Intellectual Property
The Platform, including its design, features, and functionality, is owned by NuLakaz and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
6. Subscription and Payment Terms
6.1 Subscription Plans
NuLakaz operates on a subscription model. Building organizations subscribe to plans based on the number of residential units. Subscription fees are billed to the building organization, not individual residents.
6.2 Billing and Payment
- Subscriptions are billed monthly or annually in advance
- Payments are processed through secure third-party payment processors
- You authorize us to charge the provided payment method
- Failed payments may result in service suspension
- All fees are non-refundable except as required by law
6.3 Trial Periods
New organizations may receive a trial period. We reserve the right to determine trial eligibility. Trials automatically convert to paid subscriptions unless cancelled before the trial ends.
6.4 Cancellation and Refunds
Building administrators may cancel subscriptions at any time. Cancellations take effect at the end of the current billing period. No refunds are provided for partial subscription periods, except as required by applicable consumer protection laws.
6.5 Price Changes
We may change subscription prices with at least 30 days' notice. Continued use of the service after price changes constitutes acceptance of the new prices.
7. Privacy and Data Protection
Your use of NuLakaz is subject to our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with:
- General Data Protection Regulation (GDPR) for EU users
- Protection of Personal Information Act (POPIA) for South African users
- California Consumer Privacy Act (CCPA) for California users
- Data Protection Act for Mauritius users
- Other applicable data protection laws
8. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- That the service will be uninterrupted, secure, or error-free
- That defects will be corrected
- That the platform is free from viruses or harmful components
- The accuracy, reliability, or completeness of any content
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NULAKAZ SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss
- User content or conduct of other users
- Unauthorized access to or alteration of your content
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOUR BUILDING ORGANIZATION IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow limitation of liability for certain types of damages, so some limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless NuLakaz, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:
- Your use of the Platform
- Your User Content
- Your violation of these Terms
- Your violation of any rights of another person or entity
11. Termination
11.1 By You
You may close your account at any time through your account settings or by contacting support.
11.2 By Us
We may suspend or terminate your account immediately if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Pose a security or legal risk
- No longer qualify as a resident
- Fail to pay applicable fees (for building administrators)
11.3 Effect of Termination
Upon termination:
- Your right to access and use the Platform immediately ceases
- We may delete your account and content within 30 days
- Provisions that by their nature should survive termination will remain in effect
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the jurisdiction where your building organization is located:
- Mauritius: Laws of Mauritius
- South Africa: Laws of South Africa
- United States: Laws of the State of Delaware, USA
- European Union: Laws of the member state where the building is located
12.2 Dispute Resolution Process
Before initiating formal proceedings, parties agree to attempt to resolve disputes through good faith negotiation for at least 30 days.
12.3 Arbitration (Where Applicable)
For users in jurisdictions where arbitration is permitted, disputes may be resolved through binding arbitration rather than in court, except where prohibited by law.
12.4 Consumer Rights
Nothing in these Terms affects your statutory consumer rights under applicable law.
13. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting updated Terms on the Platform
- Sending email notification to your registered email
- Displaying a prominent notice on the Platform
Continued use after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and NuLakaz.
14.2 Severability
If any provision is found unenforceable, the remaining provisions will remain in full effect.
14.3 Waiver
Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.
14.5 Force Majeure
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control.
14.6 Language
These Terms may be provided in multiple languages. In case of conflict, the English version prevails.
